1. Agreement to Terms

By accessing or using Valethon (the "Service"), operated by Mailmessenger Networks Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Valethon is a service operations platform providing ticketing, CRM, billing, asset management, and related tools for managed service providers, IT departments, and AV integrators.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must notify us immediately of any unauthorized access
  • One person or entity per account; account sharing is prohibited
  • You must be at least 18 years old to create an account

4. Subscription and Payment

Billing

Subscription fees are billed monthly or annually in advance. Fees are non-refundable except as expressly stated in these terms or required by law.

Price Changes

We may modify prices with 30 days' notice. Continued use after the price change effective date constitutes acceptance of the new pricing.

Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You remain responsible for all charges incurred before cancellation.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit malicious code or interfere with the Service
  • Attempt unauthorized access to any part of the Service
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization

6. Data Ownership

Your Data

You retain all rights to data you input into the Service ("Customer Data"). We do not claim ownership of Customer Data.

License Grant

You grant us a limited license to use Customer Data solely to provide the Service and as otherwise permitted by our Privacy Policy.

7. Service Level Agreement

We commit to 99.9% uptime for the core Service, excluding scheduled maintenance and circumstances beyond our control.

Service credits may be available for downtime exceeding this commitment. Contact support for details.

8. Intellectual Property

The Service, including all software, designs, and content, is owned by Mailmessenger Networks Inc. and protected by intellectual property laws. Nothing in these terms grants you rights to our intellectual property except the limited license to use the Service.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Mailmessenger Networks Inc., its officers, directors, employees, and agents from any claims arising from your use of the Service, violation of these terms, or infringement of any rights.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason with notice. Upon termination, your right to use the Service ceases immediately.

13. Changes to Terms

We may modify these terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised terms.

14. Governing Law

These terms shall be governed by the laws of the jurisdiction in which Mailmessenger Networks Inc. is incorporated, without regard to conflict of law principles.
